Seattleâbased Spectral Capital Corporation (OTCQB: FCCN) announced it has finalized its acquisition of Telvantis Voice Services, Inc., effective December 31, 2025, under the previously disclosed Definitive Stock Purchase Agreement. The deal delivers 100% of Telvantis Voiceâs equity to Spectral in exchange for 1,500,000 shares of Spectral common stock at closing and the potential issuance of up to 8,500,000 additional shares tied to performance benchmarks, for a total of up to 10,000,000 shares in consideration.
The transaction includes earnâout provisions that require Telvantis to achieve specified revenue and operating profit milestones during fiscal year 2026, including a minimum of $240 million in profitable revenues and a target of $10 million in net earnings. All issued shares are subject to customary lockâup, ownership limitations, and restrictions.
Telvantis Voice Services operates an enterpriseâgrade telecommunications and communications infrastructure platform. Its integration into Spectralâs digital infrastructure portfolio supports the companyâs strategy to build scale and achieve a profitable revenue objective of $450 million in 2026 through strategic acquisitions and organic expansion.
