On November 22, 2025, national securities law firm Faruqi & Faruqi, LLP (NYSE: FLY) announced that it is investigating potential claims on behalf of investors in Firefly Aerospace Inc. (“Firefly” or the “Company”) and that eligible investors may seek to serve as lead plaintiff in the federal securities class action filed against the Company.
According to the notice, anyone who purchased or otherwise acquired Firefly common stock in connection with its August 7, 2025 initial public offering, and/or traded Firefly securities between August 7 and September 29, inclusive, and suffered losses, might have the opportunity to lead the lawsuit.
The complaint alleges that Firefly and its senior executives made materially false or misleading statements, or omitted required disclosures, by overstating demand and growth prospects for its Spacecraft Solutions business, overstating the operational readiness and commercial viability of its Alpha rocket program, and failing to disclose that such misstatements would likely have a material adverse impact on the Company.
Firefly went public on August 7, 2025, selling approximately 19.296 million shares at $45.00 each. The Company’s Q2 2025 results—its first earnings report as a public company—were released September 22: a net loss of $80.3 million (‑$5.78/share) versus a prior‐year loss of $58.7 million (‑$4.60/share); revenue of $15.55 million fell short of estimates ($17.25 million) and dropped 26.2% year‑over‑year; the Spacecraft Solutions segment posted only $9.2 million in revenue, down 49% YOY.
On September 22, Firefly’s stock fell $7.58/share (‑15.31%) to close at $41.94. On September 30, after Firefly disclosed that the first stage of its Alpha Flight 7 rocket had suffered a loss and raised questions about its commercial launch commitments and technical viability, the stock dropped another $7.66 (‑20.73%) to close at $29.30.
