Analog Devices Inc. has agreed to acquire privately held Empower Semiconductor for $1.5 billion in cash, aiming to expand its role in AI data center power management. The deal is expected to close in the second half of 2026.
Strategic Move Into AI Power Infrastructure
The acquisition gives Analog Devices access to Empower’s integrated voltage regulator technology, which is designed for next-generation 800-volt AI data center systems. These systems need smaller, faster, and more efficient power delivery as AI processors continue to demand higher performance.
Empower’s technology places power regulation closer to processors. This can reduce the need for large circuit-board capacitor banks and may help data centers improve space use, power efficiency, and system performance.
Strong Quarterly Results Support Expansion
Alongside the acquisition announcement, Analog Devices reported record fiscal second-quarter revenue of $3.62 billion, up 37% year over year. Growth came from industrial, automotive, communications, and consumer markets.
The company’s diluted earnings per share rose to $2.40, while adjusted diluted EPS reached $3.09. GAAP gross margin was 67.3%, and adjusted operating margin reached 49.0%.
Cash Flow and Shareholder Returns
Analog Devices returned $1.3 billion to shareholders during the quarter. It also reported trailing 12-month free cash flow of $4.57 billion, equal to 36% of revenue. The company ended the quarter with $3.4 billion in cash and equivalents, plus an undrawn $3 billion revolving credit facility.
Outlook for the Next Quarter
For the fiscal third quarter, Analog Devices guided for revenue of about $3.9 billion. The company expects GAAP earnings per share of $2.60 and adjusted EPS of $3.30.
Market Reaction
Despite the strong earnings and strategic acquisition, shares of Analog Devices fell 6.7%. Analysts at Baird said the Empower deal fits well with Analog Devices’ existing data center power portfolio and could position the company for rising demand as AI data centers move toward 800-volt architectures.
