
AirLife Gases Acquires Control of Royal Helium Ltd.

In a major move announced on November 29, 2025, AirLife Gases Private Limited (âAirLifeâ) said it has acquired through a whollyâowned subsidiary approximately 79,901,328 ClassâŊA voting common shares and 4,000,000 share purchase warrants of Royal Helium Ltd. (âRoyal Heliumâ), bringing its total ownership to about 52.9% on a fully diluted basis. Each warrant gives AirLife the right to buy one additional common share at USDâŊ0.65 per share over the next 36 months.
Royal Helium is an exploration, production, and infrastructure firm focused on helium and associated gases, with extensive leasehold interests and operations spanning Southern Saskatchewan and southeastern Alberta in Canada. The companyâs helium reservoirs are primarily nitrogenâcarried, which means the extraction process is more environmentally friendly â nitrogen is not a greenhouse gas, and the Canadian extraction operations can reportedly be up to 90% less carbonâintensive than comparable helium production elsewhere.
As part of the deal, AirLife will gain significant control: under the new investor rights agreement, it can nominate directors to secure a majority on Royal Heliumâs board â including the board chair â and potentially exercise corporate naming rights (pending required approvals). The company has also been granted the exclusive offtake rights for helium and specialty gases produced by Royal Helium and its subsidiaries.
AirLife says the acquisition marks a strategic pivot: from being a global distributor of helium and specialty gases â serving sectors such as healthcare, fiber optics, semiconductors, aerospace, and defense â to becoming an integrated helium producer. By combining its global supply network with upstream production capacity from Royal Helium, AirLife aims to strengthen supply reliability, reduce reliance on thirdâparty suppliers, and deliver longâterm value via vertical integration.
